The board should take the time to determine exactly what role it wants the HOA management company to play, says Kuester. What services will it provide, and to what extent? Does the association need assistance with financial management, staying on top of administrative tasks, maintaining communication with members, overseeing vendors and projects, or a combination of these things and more? The agreement should include everything the management company will cover and how, leaving nothing up to interpretation.
Another critical section of the agreement is the specifics around the duration of the contract, the payment terms and schedule, and what the processes are for updating, renewing, or terminating the contract. This includes any restrictions or penalties.
"Both parties should work together to resolve any disagreements and reach mutually agreeable terms," says Kuester. "Although these types of contracts are developed all the time, it is a good idea for the board to have its attorney do a final review to ensure that everything is legally compliant, enforceable, and protects the association's best interests."
